DEFINITIONS   

“We”, “Us”, “Our”, "SB Creative Co." shall mean SB Creative Co. Pty. Ltd. herein below, its successors and assigns or any person acting on behalf of and with the authority of SB Creative Co. “You”, “The Client” or “The Client(s)” means the undersigned person(s) herein below (or any person acting on behalf of and with the authority of The Client). 

“Package”, “Services”, “Work”, “Artwork”, “Project”, “The project”, “Design Project”  are terms used to describe the approved service from SB Creative Co. for the The Client(s) herein below.

SB Creative Co. reserves the right to amend these terms at any time by giving at least 7 days written notice to the amendments.

QUOTATIONS

- All quotes are valid for 30 days only.
- All prices are excluding GST unless otherwise stated.
- All prices are in Australian Dollars.
- Any additional work outside the terms of the quote will be charged at an hourly rate of $160+GST per/hour.
- SB Creative Co. is not responsible for increases in materials by third party services (eg printers, packaging suppliers, website hosting, font licensing) where the increases are beyond our control.

PAYMENTS | DESIGN WORK

- A non-refundable booking fee is required before starting any design project, unless otherwise agreed.
- Upon the booking fee (or, any quoted booking fee) being paid and received as cleared funds, SB Creative Co. will reserve the time in the calendar to work on your design project. Because SB Creative Co. may forgo opportunities to book other business, the booking fee is non-refundable, even if the project is cancelled for any reason; including but not limited to acts of God, fire, strike, and/or extreme weather, COVID 19 / pandemic or epidemic. The booking fee is to be paid and required at time of engaging SB Creative Co. to commence a project. The booking fee is non-transferable and cannot be exchanged for other services or products.
- By making payment, you agree the booking fee is non-refundable and you understand the terms and conditions.
- Payments are to be made by bank deposit transfer.
- All invoice terms are 14 days from the date of the invoice.
- Accounts which are not paid on time will incur a late administration fee of $50 + GST.
- Accounts which remain outstanding for 14 days after the date of invoice will incur an additional payment fee equivalent to 5% of the projects costs for each week payment is outstanding.
- Final artwork files will not be handed over until the invoice has been paid in full.
- All printing invoices must be paid prior to sending the artwork to print.
- All work not completed or approved within a one month period will be invoiced regardless.
- Payment is required for any artwork or drafts, that have been terminated on your request at any stage of development, prior to completion. Invoice will be issued as ‘work to date’.
- If debt collection is required for unpaid invoices, The Client is responsible for any costs incurred (fees/commissions payable to the debt collectors)

APPROVAL

- Approval is required for all projects, via email prior to work being released.
- Whilst all care is taken by SB Creative Co., SB Creative Co. is not responsible for any spelling, grammatical, numerical errors or omissions after final approval. Even if these errors are from SB Creative Co., it is the Client’s responsibility to proof read and check thoroughly their projects to identify any errors prior to approval.

 

IMAGES, COLOUR MATCHING & FONTS

IMAGES
- Some designs may contain stock images, that are available for purchase.
- Any images supplied by the Client must be provided in high resolution and preferably in CMYK. SB Creative Co. is not responsible for colour variations in conversion from RGB to process CMYK.
- SB Creative Co. is not responsible for the reproduction quality of supplied images.

FONTS AND LICENCING
- Some designs may contain fonts that require licensing, that are available for purchase.

COLOUR MATCHING & PRINTING
-  Whilst all care is taken, SB Creative Co. does not take responsibility for Client supplied artwork that does not print properly.
-  Please note that colour on projects can vary from screen to final product. Screen proofing is not indicative of final printed piece. Printed colours can vary from printer to printer and job to job, due to the nature of the CMYK printing process.



PAYMENTS | ON-GOING WORK

- Where you require continued jobs as an existing client, each hour of work will be timed and billed per hour at 15 minute increments and invoiced after completion of each project.
- All work will be charged at an hourly rate of $160+GST per/hour.
- For any artwork requirements or requests that require turn around in less than 2 business days (48 hours), will be charged at $240+GST per hour (additional 50% hourly rate). Please note this is subject to SB Creative Co. availability and not guaranteed.
- Payments are to be made by bank deposit transfer.

CANCELLATIONS

- The Client may cancel this any package agreement for any reason by providing a minimum of 10 days written notice to SB Creative Co.
- The Client understands any booking fee paid prior to cancellation will be non-refundable.
- SB Creative Co.may cancel this Agreement at any time for any reason by providing written notice to The Client.
- In the unlikely event that SB Creative Co. is unable to provide the services for any reason including, but not limited to, illness, pregnancy, injury, emergency, family emergencies or constraints, delay in travel, or act of God, fire, strike and/or extreme weather, COVID 19 / pandemic or epidemic, sudden event or other circumstances beyond the control of SB Creative Co., return of any payments (less any amount used to meet any expense or costs incurred by SB Creative Co., or value of any services performed as ‘work to date’) will be returned to the client.

GUARANTEES & COMMUNICATION

NO GUARANTEES
- SB Creative Co. cannot guarantee the outcome of design services and the client’s comments about the outcome are expressions of opinion only.
- The Client acknowledges that SB Creative Co. cannot guarantee any results for design as outcomes are based on subjective factors that cannot be controlled by SB Creative Co. 

COMMUNICATION
- Communication is best made via email, as this helps us keep track of specific design requirements and any changes required.
- If you would like to talk on the phone, via Zoom or in person, we are happy to do so. However we ask that you please email us and make an appointment for a time.

COPYRIGHT & CREDITS

COPYRIGHT
- All images displayed on the SB Creative Co. website or social media pages are subject to copyright, and must not be copied or used without full permission from SB Creative Co. and the Client. Any breach of copyright will result in legal action being taken as necessary. 

DESIGN CREDIT
- The Client allows SB Creative Co. to display any projects on the SB Creative Co. website/ Facebook/ Instagram page and portfolio for self promotion purposes.
- The Client agrees to allow SB Creative Co. to credit design work on all websites designed by SB Creative Co.

TURN AROUND TIMES

TURNAROUND TIMES
- SB Creative Co. will make every effort to meet deadlines and outlined timeframes, as per quote, brand packages or dates noted in email communication. All quoted turnaround times are approximate. SB Creative Co. will not be held responsible or liable for any costs resulting from late artwork or printing deliveries.
- For any artwork requirements or requests outside of your quote and/or brand package that require to be turned around in less than 48 hours, will be charged at $240.00+GST per hour (additional 50% hourly rate). Please note this is subject to SB Creative Co. availability and not guaranteed.

 

NATIVE FILES & ARCHIVING

- SB Creative Co. retains ownership of all native design files.
- If you wish for the ownership of these files to be transferred to you, you will be required to pay a $160+GST admin and archival fee + the full cost of the project again.
- It is the client’s responsibility to ensure all files are downloaded and saved once provided to them. Should you require SB Creative Co. to provide your files again, you will be charged a $160+GST admin fee plus the time it takes to retrieve these files from our archives. Files are usually stored for a period of 6 months, however it is not SB Creative Co’s responsibility to permanently archive these files.
